These Terms of Service ("Terms") govern your use of the website pagespeedservices.com and the web performance optimization services provided by PageSpeed.Biz, operated by ITULIS (itulis.com). By accessing our website or engaging our services, you agree to these Terms in full.

1. Service Description

PageSpeed.Biz provides web performance optimization including, but not limited to:

• Core Web Vitals assessment and optimization
• PageSpeed Insights score improvement
• Website architecture analysis and redesign
• Image, font, and asset optimization
• Server-side and client-side performance tuning
• Platform migration services (e.g., to Astro, Next.js)
• Performance monitoring during guarantee periods

The specific scope, deliverables, and timeline for each engagement are defined in the project proposal or agreement provided prior to work commencing.

2. Engagement and Payment Terms

2.1 Project Agreement

Each optimization engagement begins with a written proposal outlining the scope of work, deliverables, timeline, and pricing. Work commences only after the client accepts the proposal and submits the required payment.

2.2 Payment Structure

Payment terms vary by service tier:

• Starter packages: Full payment required before work begins.
• Growth packages: 50% deposit upfront, remaining 50% upon completion and delivery of results.
• Elite packages: 50% deposit upfront, remaining 50% upon completion and delivery of results.
• Custom engagements: Payment schedule as defined in the project agreement.

2.3 Refund Policy

If we are unable to deliver the agreed-upon optimization targets as outlined in your project agreement, we will continue working at no additional cost until targets are met, or issue a partial refund proportional to undelivered scope. Refund requests must be made within 14 days of project delivery. Deposits are non-refundable once work has commenced, except where covered by our Performance Guarantee.

3. Performance Guarantee Terms

Our performance guarantee is subject to specific conditions:

• Guarantee periods vary by plan: 30 days (Starter), 60 days (Growth), and 90 days (Elite).
• Guarantee covers score regressions caused by our optimization work only.
• Guarantee does not cover regressions caused by client-side changes, third-party script additions, hosting changes, CMS updates, or content modifications made by the client after delivery.
• PageSpeed scores naturally fluctuate by 2-5 points between runs. Minor fluctuations within this range are normal and not considered regressions.

4. Client Responsibilities

To ensure successful optimization, the client agrees to:

• Provide timely access to the website, hosting environment, and relevant credentials as needed.
• Maintain current backups of the website prior to any optimization work.
• Respond to requests for information or approval within a reasonable timeframe.
• Refrain from making substantial changes to the website during active optimization work without prior coordination.
• Inform us of any third-party services, plugins, or integrations that must remain on the site.

5. Intellectual Property

5.1 Client Content

You retain full ownership of your website content, design assets, and branding. Our optimization work does not transfer ownership of your content to us.

5.2 Our Work

Upon full payment, all custom code, configurations, and optimizations we implement on your website are transferred to you. You own the deliverables.

5.3 Tools and Methodology

Our proprietary optimization processes, internal tools, audit methodologies, and techniques remain the intellectual property of PageSpeed.Biz / ITULIS. The deliverable is the optimized result, not our internal workflow.

5.4 Portfolio Rights

We reserve the right to showcase your project (before/after scores, live proof links) in our portfolio and case studies, unless you explicitly request otherwise in writing before project commencement.

6. Limitations of Liability

To the maximum extent permitted by law:

• PageSpeed.Biz shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services.
• Our total liability for any claim shall not exceed the total amount paid by the client for the specific engagement in question.
• We are not responsible for third-party service outages, hosting failures, or changes to Google's PageSpeed algorithm or scoring methodology.
• We are not liable for revenue loss, traffic changes, or search ranking fluctuations that may occur during or after optimization work.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes, but is not limited to, access credentials, business strategies, unpublished content, and internal system details. This obligation survives termination of the engagement. Access credentials provided will be used solely for the purpose of performing the agreed-upon optimization work.

8. Termination

Either party may terminate an engagement under the following conditions:

• By the client: You may cancel at any time with written notice. Deposits are non-refundable if work has already commenced. Payment for completed work is due in full.
• By PageSpeed.Biz: We may terminate if the client fails to provide necessary access, materials, or payment within 14 days of the agreed date, or if the client engages in behavior that is abusive, fraudulent, or violates these Terms.

Upon termination, all completed deliverables up to the termination date will be provided to the client, subject to payment for work completed.

9. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration under standard commercial arbitration rules.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. For active engagements, changes to terms will not apply retroactively — the terms in effect at the time of your project agreement will govern that engagement.
